TERMS & CONDITIONS (AGB)

1. Scope

These Terms and Conditions govern all business relationships between Travel Protocol Worldwide Maalaoui”, registered in Sempach, Switzerland, is hereinafter referred to as “TPWW” and its clients.

By commissioning a service, the client accepts these Terms and Conditions.

2. Scope of Services

TPWW provides organizational, coordination, and advisory services in the fields of:

Travel & Hospitality
Lifestyle & Strategic Access
Mobility (Aviation, Yacht, Transfers)
Security Coordination
International Logistics Coordination

TPWW does not act as a tour operator, airline, security company, medical provider, rental company, or other direct service provider unless explicitly agreed in writing.

All services are provided exclusively in the form of structured coordination and mediation of external, independent partners.

TPWW acts solely as a coordinating entity between the client and external service providers and does not become the contractual party of the respective service unless explicitly agreed otherwise.

TPWW does not guarantee the availability, quality, or performance of services provided by third-party providers.

3. Conclusion of Contract

A mandate is concluded through written confirmation, explicit instruction via email, telephone, message, or through acceptance of an individual offer.

Offers are non-binding unless explicitly stated otherwise.

By commissioning services, the client confirms the paid coordination of the requested services.

4. Prices & Payment Terms

Fees for coordination services are agreed individually.

Invoices are payable in full within the agreed payment period without deductions.

External services (e.g., aviation, hotels, security providers, or other third-party services) may require advance payments or direct payments to the respective provider.

TPWW reserves the right to request advance payments or full prepayment for certain services, particularly for services provided by external partners.

In the event of late payment, TPWW reserves the right to immediately suspend coordination services until payment has been received.

Payments may be made via bank transfer or through external payment providers (e.g., Stripe or SumUp).

When using payment service providers, their respective terms and privacy policies also apply.

All services are invoiced and payable in Swiss Francs (CHF) unless explicitly agreed otherwise in writing.

5. Liability

TPWW shall only be liable for damages caused intentionally or through gross negligence in connection with its own coordination services.

TPWW assumes no liability for services provided by external partners. Contracts between the client and third-party providers remain unaffected.

Liability for indirect damages, consequential damages, or loss of profit is excluded to the extent permitted by law.

Any liability is limited to the amount of the coordination fee paid to TPWW.

6. Cancellation

In the event of cancellation, coordination services already provided by TPWW must be paid in full.

For services coordinated or arranged by TPWW through external providers (e.g., hotels, airlines, yacht charter companies, transportation providers, or other third parties), the respective cancellation and contractual conditions of the relevant provider apply exclusively.

TPWW assumes no liability for cancellation fees or contractual conditions of external providers.

7. Confidentiality

All information, mandates, and personal data are treated with strict confidentiality.

Disclosure only occurs where necessary for coordination with involved partners.

8. Non-Circumvention

TPWW introduces clients to selected external service providers solely for the purpose of coordinating services.

The client agrees not to directly engage, contract, or establish business relationships with service providers introduced by TPWW without the involvement of TPWW for a period of 24 months following the introduction.

Likewise, external partners introduced through TPWW shall not directly solicit or establish business relationships with clients introduced by TPWW without the prior written consent of TPWW.

This provision serves to protect TPWW’s coordination role and international partner network.

9. Data Protection

The processing of personal data is carried out in accordance with the Swiss Federal Act on Data Protection (FADP) and applicable international data protection regulations.

10. Force Majeure

TPWW shall not be liable for service disruptions caused by force majeure, political events, natural disasters, governmental orders, strikes, pandemics, or comparable unforeseeable circumstances.

11. Jurisdiction & Applicable Law

Swiss law shall apply exclusively.

The place of jurisdiction is Sempach, Lucerne, Switzerland, unless mandatory legal provisions provide otherwise.

11. Amendments

TPWW reserves the right to amend these Terms and Conditions at any time.

The version published on the official website of Travel Protocol Worldwide shall apply at the time of commissioning the service.
